Overview:

The Senior Paralegal position is key to the function of WIS International’s Legal Team. The Senior Paralegal position requires an experienced paralegal familiar with a variety of legal concepts, practices and procedures, and be generally capable of supporting the Legal Team with minimal direction. The Senior Paralegal position will report to the company’s General Counsel or Associate General Counsel.

Essential Duties and Responsibilities :

  • Manage corporate entity and governance matters including articles of incorporation, bylaws, operating agreements, annual reports, service of process agents, corporate minutes, consent resolutions, board and officer appointments, etc.

  • Review and draft various types of contracts and support the business in contract negotiations as necessary;

  • Assist with mergers and acquisitions, and other strategic transactions, tracking and organizing closing documents and signature pages, and attending to post-closing matters, including maintaining electronic records;

  • Help maintain the company’s intellectual property portfolio;

  • Assist Legal Team with litigation-related data/document collection, data/document review, investigations and general litigation support, including responding to subpoenas and service of process;

  • Provide legal support for projects in various departments such as Finance, Tax, and Human Resources;

  • Provide assistance with Legal Team expense reports and assist in tracking and processing payments to external law firms and other Legal Team vendors for services rendered.

Education / Experience :

Bachelor’s degree in relevant field; minimum of 8 years paralegal or similar experience or equivalent combination of education and experience.

Certificates, Licenses, Registrations:

Paralegal certification preferred.

Skills & Abilities:

  • Ability to analyze, interpret, and draft routine correspondence and contractual instruments.

  • Working knowledge of corporate policies and procedures, and the ability to identify improvements to established policies and communicate implementation procedures to others.

  • Excellent verbal, written, and analytical skills.

  • Use of independent judgment and creativity applied to resolution of issues.

  • Excellent internal and external relations and negotiation skills.

  • Ability to manage multiple matters simultaneously.

  • Strong attention to detail and appreciation for data integrity.

Computer Skills/Tools & Technology :

Strong computer skills including proficiency in Word, Excel, PowerPoint, Vision, Adobe, and SharePoint. Willingness to learn new systems.

Physical Demands :

Sedentary work, exerting up to 10 pounds of force occasionally and/or negligible amount of force frequently. Sedentary work involves sitting. Walking and standing are required occasionally. Position typically requires reaching, standing, walking, grasping, talking, hearing, seeing.

Work Environment:

Hybrid remote/office environment.

Language Skills :

Must speak and write English fluently.

Ability to present facts and recommendations effectively in oral and written form. Listen to and understand information and ideas presented through spoken words and sentences.
